• Damages resulting from unauthorized access to or use of our servers or any personal information stored therein

• Errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

IN NO EVENT SHALL QUALIA LP'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO QUALIA LP IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Qualia LP and its directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property, privacy, or other proprietary rights
• Any content or information you submit, post, or transmit through the Services

13. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, with or without notice, effective immediately. Grounds for termination may include, but are not limited to:

• Requests by law enforcement or government agencies

Upon termination, your right to use the Services will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada, and you consent to personal jurisdiction in such courts.

Before filing any formal legal action, you agree to first contact us and attempt to resolve the dispute informally by sending written notice to our contact address.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect.
